Actions I can take against a company wanting to clone my website

I just found a post on freelancer dot com, asking for 1:1 clone of my company’s SAAS web service (they even refer to our domain in the posting).

Though it is flattering that somebody thinks it is good enough to want a clone, I do fear loosing some of the hard work and money invested.

Any advice on how to go about this?

Depends on the country you are in, but I doubt your ability to take any legal action against them.

You could ask freelance.com to take the request down, but that is unlikely to yield the results you want. As long as they’re not copying your logo/content, there is very little that is legally protected with regards to online sites. Perhaps someone else here would be able to provide you with specific SAAS-Webservice information. In general, many sites copy existing sites, and its very hard to have a truly unique and protected design.

It depends on what country you are in but where ever you are, it would not be quick, and by no means certain.

If it were me, what would I do?

  1. Contact a lawyer, get them to send a cease and desist letter to the forgers (it may not get you anywhere but it at least allows you to legally acknowledge your disapproval)
  2. Contact the freelancer website, report it as abuse
  3. Write to the forgers and find a middle ground. Perhaps you offer a fully featured but discounted service - basically, they would act as sales people (don't tell them you consider them as sales people), and every sale they bring creates profit for both of you. Yes, financially, you are less well off, but it increases your customer base, your brand, without increasing your risks. It brings the forgers faster to the market at less cost. A win win for you both.

If you follow my third point, make sure your terms of service are clear in a contract akin to a Service Level Agreement You want to make sure though that you retain full ownership/control over the brand, customer, data and the code. Unless otherwise agreed, by not mentioning it you risk losing control to some/all of your business.

I once heard a story that Adobe and Macromedia merged because one discovered the other had copied a product/feature/code/something from the other. Prior to a legal war, some research was done to find the two CEO's knew each other from a previous life. They sat down and talked it over and decided a merger would bring greater benefit than the costs of war. I don't know how true the story is, but even if its mythical, it is no less valuable a story.

Someone citing someone else over the past century said: “Good artists copy; great artists steal.” If you get copied, you are onto some good idea.

The thing is copyright is pretty intricate and particular. And there are many blurry areas when it comes to software. Pr. Lawrence Lessig is fighting for many years on this very issue (he is an instigator for the Creative Commons, etc.).

Your question is generic, and as such, it is difficult to give a definitive answer. @Stone Hearts mentions the country, but it also depends on what your service has to offer, and its legal status. For example, do you have any specific copyright on some materials, or patent? Searching your local country legal code could give some hints on what is “copyrighted” by default (e.g. designs, phrasing), and what is not. This can provide a base for action, as necessary.

But the best advice to me is to provide the best service as you can, and just keep an eye on competition. You have a much better use of your time. Ersatz are behind—you lead the race. And if your customers are satisfied, they have no rationale to look elsewhere. There might be a price competition at some point, but if your implementation and service are superior, once again there is little worry.

Let’s look at some examples: Amazon is the e-commerce web site. Yet the Japanese Rakuten and French PriceMinister (acquired by Rakuten…) are doing well. They are shameful copy of Amazon, and keep copying ideas over time. But Amazon look at them too, and I would bet they get “inspired” by their competitors. All these companies are doing quite well: The pie is pretty big and getting bigger. Amazon does not seem to actively sue them for shameless copying. Yet Amazon is surely keeping an eye on them, just to check if they are going too far in copying.

Competition is painful, but good. It is a basis of free markets: They can copy, and you can too—in a given legal context. Unfair competition is somewhat regulated, and you can then act upon it, but it is critical to keep in mind this costs time and money.

@AyKarsi, since you and the copier are in the same country (Germany), I would suggest getting some local legal advice.

There are some good points in the other answers, which I wont repeat, especially from @fiprojects - particularly like the 3rd point. Offering them position as a sales partner!

I’m not sure how much German law or EU law will protect you in this, but you could examine trademark, patent and copyright from the point of view of any infringements. Then if you can prove any of these, then you need to consider if you go ahead, whether you want the expense / effort of litigation!

Unless it is very clear that you would win quickly, I would suggest not going down the legal route, but instead going down the marketing route considering things like the following
